Welcome to FinlyticZ (the "Platform"). This Platform is owned and operated by PayVance Innovation Private Limited ("Company", "we", "us", or "our").

Please read these Terms and Conditions ("Terms") carefully before using our website, mobile application, desktop connector software, or any associated digital financial services. By accessing, downloading, or using any part of the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, you must immediately discontinue your use of the Platform.

1. Eligibility

To be eligible to access and use the Platform, you must:

• Be at least 4 years of age or the legal age of majority in your jurisdiction.
• Possess the legal capacity and corporate authority to enter into binding legal agreements.
• Ensure your use of the Platform complies with all local corporate, tax, and IT laws applicable to your business.

2. User Accounts and Security

To unlock financial insights, automated reporting, and real-time syncing features, you may be required to register for a dedicated user account.

• Accuracy: You agree to provide current, complete, and accurate registration information.
• Confidentiality: You are solely responsible for maintaining the confidentiality of your account login credentials, passwords, and API/sync tokens.
• Liability: You accept full responsibility for all activities, data extractions, and configurations executed under your account. You must notify the Company immediately at info@payvance.co.in if you suspect unauthorized access or a security breach.

3. Scope of Services

FinlyticZ provides business intelligence, data analytics, automated reporting tools, and secure syncing mechanisms designed to bridge local ERP environments (such as Tally) with mobile devices.

• Modifications: The Company reserves the baseline right to modify, update, enhance, temporarily suspend, or discontinue any feature or part of the Platform at any time without prior liability or notice.
• Third-Party Trademarks: "Tally", "Tally ERP 9", and "TallyPrime" are registered trademarks of their respective owners. FinlyticZ operates as an independent, third-party analytics solution and is not directly affiliated with, sponsored by, or endorsed by the owners of the Tally trademark.

4. Subscriptions and Payments

Certain advanced data modules, multi-user privileges, and persistent syncing features require a paid subscription plan.

• Billing: All payment transactions are securely processed through trusted, third-party payment gateways. You agree to adhere to the terms and privacy frameworks of those specific payment processors.
• Fees: You agree to pay all applicable subscription fees, taxes, and renewal dues associated with your chosen tier.
• Non-Payment: Failure to maintain an active payment status may result in immediate rate-limiting or suspension of your live data pipelines.

5. Prohibited User Obligations

When interacting with the Platform, you explicitly agree not to engage in the following behavior:

• Using the Platform or your synced data pipelines for any unlawful or fraudulent business purposes.
• Attempting to reverse-engineer, decompile, bypass security components, or gain unauthorized access to our cloud environments or database servers.
• Injecting or distributing malware, viruses, or any harmful software code through our desktop connector or mobile tools.
• Scraping, copying, replicating, or commercially exploiting any proprietary codebase, UI design, or operational framework belonging to FinlyticZ.

Violation of any of these restrictions will result in the immediate termination of your account and may subject you to statutory legal proceedings.

6. Intellectual Property Rights

All intellectual property on the Platform—including but not limited to source code, algorithms, dashboards, graphics, user interfaces, branding, and logos—remains the exclusive property of PayVance Innovation Private Limited.

Subject to compliance with these Terms, you are granted a limited, revocable, non-exclusive, non-transferable license to utilize the application solely to monitor and analyze your internal business operations.

7. Limitation of Liability

To the maximum extent permitted by applicable Indian law, Payvance Innovation Private Limited, its directors, and employees shall not be held liable for any indirect, incidental, special, exemplary, or consequential damages. This includes, without limitation:

• Loss of business profits, revenue, or corporate data.
• Business interruptions or sync delays resulting from third-party network issues, hosting outages, or local ERP software glitches.
• Financial decisions or strategic investments made based on the data analytics visualized through the dashboards.

8. Termination of Service

We reserve the right, in our sole discretion and without prior notice, to terminate or suspend your access to the entire Platform or specific service blocks if:

• You breach or violate any clause within these Terms.
• Your account exhibits behavior indicating data scraping, malicious bot activity, or credential sharing.
• The Company elects to sunset the specific product version or service tier.

9. Governing Law and Jurisdiction

These Terms and any operational disputes arising out of your use of the Platform shall be governed by, interpreted, and construed in accordance with the Laws of India. Any legal actions, suits, or formal proceedings must be brought exclusively before the competent courts located in Thane, Maharashtra, India

10. Modifications to the Terms

The Company reserves the right to revise, update, or rewrite these Terms at any time. We will post the revised framework directly on this page and update the "Last Updated" timestamp at the top. Continued use of the Platform after changes are published constitutes your official acceptance of the modified Terms.
